These terms of use are entered into by and between You and Gravity Haus, Inc. (Company,” “we,” or “us“). The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, “Terms of Use“), govern your access to and use of www.gravityhaus.com, including any content, functionality, and services offered on or through www.gravityhaus.com (the “Website“), whether as a guest or a registered user.

By using the Website or by clicking to accept or agree to the Terms of Use when this option is made available to you, you accept and agree to be bound and abide by these Terms of Use and our Privacy Policy, incorporated herein by reference. If you do not want to agree to these Terms of Use or the Privacy Policy, you must not access or use the Website. 

As our membership is limited to individuals over the age of 21, this Website is offered and available to users who are 21 years of age or older, and reside in the United States or any of its territories or possessions. However if local laws provide for an alternative minimum age for us to lawfully provide the services in the Website to you, then that shall apply as the applicable minimum age. If you are under the age of 21 or the age of majority in your jurisdiction, you must use the Website under the supervision of your parent, legal guardian or responsible adult. By using this Website, you represent and warrant that you meet all of the foregoing eligibility requirements. If you do not meet all of these requirements, you must not access or use the Website.

We reserve the right to withdraw or amend this Website, and any service or material we provide on the Website, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Website is unavailable at any time or for any period. We may make available certain advertisements and other related content, including links to third-party websites (such as third party sponsored activities and events (“Listings” or “Ads”), through our search results or otherwise through the Website. Ads are created and provided by third parties over whom we exercise no control; you acknowledge and understand that we have no control over Ads. Some of these third parties may attempt to charge you a fee to apply to participate in activities or programs marketed on their website, although we endeavor not to make such Ads available on the Website.  Our website links to Ads and we have no control over any conditions third parties might impose once you have submitted an inquiry or left our website. If you leave our website and choose to enter a third-party website, you accept any terms and conditions imposed by that third-party. Except for certain sponsored, featured or paid placements, the Ads contained on, or linked from, the Website are indexed or posted in an automated manner. We do not have any obligation to screen any Ads, or to include any Ads in its search results or other listings, and may exclude or remove any Ads from the Website for any or no reason.  To the extent we allow content to be added to our website, we cannot confirm the accuracy or completeness of any information submitted by any user of the Website, including the identity of such other user. We assume no responsibility, and disclaim all liability, for the content, accuracy, completeness, legality, reliability, or availability of any Ads, Listings or third party content. 

If you elect to post comments, photos or other content on the Website, any information that you submit through the Website, including personal data, is subject to these Terms of Use and our Privacy Policy. By creating or uploading content, we may contact you to make offers that we believe match your interests, or correlate to your location or travel plans.  To maintain the quality of the Website and services, we, in our sole discretion may impose limits on the use of our services. 

In addition, by using the Website, you agree that we are not responsible for any third party content and, to the extent we permit messaging, chat or other features, we do not guarantee delivery to, or your receipt of messages from other users.  We do not guarantee the identity of any users who may sponsor or post events unless they are sponsored or organized by us.  

We may provide certain types of travel-related or activity-related information on our Website. All information contained in our conditioning, adventure and activity guides are for informational purposes only, and is in no way to be construed as medical, training, or similar advice.

You may take a variety of actions on our Website. For example, you search for reservations, and we know and store the basis on which you search. You know exactly what this data is because you are the person who undertook the activity and the data pertains only to your activity. If you have a membership with us, you agree that we may associate this data with your profile and use this observed factual data to suggest activities to you and to suggest you to other activity sponsors and promoters that might be interested in a person who matches your behavior on the Website and declared preferences. 

Please note that we may automatically send you recommended activities and events via the email address you use to create an account. We may determine what these recommended events are on the basis of a variety of factors, including but not limited to, any information you input on the Website about yourself, searches you run on the Website, events you have previously signed up for, or content that you have created through use of the Website.

Any use of the Website not expressly permitted by these Terms of Use is a breach of these Terms of Use and may violate copyright, trademark, and other laws.

The Company name, the Company logo, the domain name of the Website, and all related names, logos, product and service names, designs, and slogans are trademarks of the Company or its affiliates or licensors. You must not use such marks without the prior written permission of the Company. All other names, logos, product and service names, designs, and slogans on this Website are the trademarks of their respective owners.

You may use the Website only for lawful purposes and in accordance with these Terms of Use. You agree not to use the Website:

• You own or control all rights in and to the User Contributions and have the right to grant the license granted above to us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns.

You understand and acknowledge that you are responsible for any User Contributions you submit or contribute, and you, not the Company, have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness.

We are not responsible or liable to any third party for the content or accuracy of any User Contributions posted by you or any other user of the Website. 

Monitoring and Enforcement; Termination

We have the right to:

• Remove or refuse to post any User Contributions for any or no reason in our sole discretion.
• Take any action with respect to any User Contribution that we deem necessary or appropriate in our sole discretion, including if we believe that such User Contribution violates the Terms of Use, including the Content Standards, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of the Website or the public, or could create liability for the Company.

Indemnification

Governing Law and Jurisdiction

All matters relating to the Website and these Terms of Use, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Colorado without giving effect to any choice or conflict of law provision or rule (whether of the State of Colorado or any other jurisdiction).

Any legal suit, action, or proceeding arising out of, or related to, these Terms of Use or the Website shall be instituted exclusively in the federal courts of the United States or the courts of the State of Colorado although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms of Use in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

Arbitration

At Company’s sole discretion, it may require You to submit any disputes arising from these Terms of Use or use of the Website, including disputes arising from or concerning their interpretation, violation, invalidity, non-performance, or termination, to final and binding arbitration under the Rules of Arbitration of the American Arbitration Association applying Colorado law.

Limitation on Time to File Claims

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR THE WEBSITE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

Waiver and Severability
